Revealed Real Owners of Metallic Mining Companies in Armenia – Part 4: Chaarat Kapan CJSC

EcoLur continues to present declarations on the real owners of the companies operating the metal mines in Armenia, which were published within the framework of EITI on the website of State Register Agency of Legal Entities of RA Justice Ministry.

In this publication, we will cover the declaration submitted by “Chaarat Kapan” CJSC developing Shahumyan gold and polymetallic mine in Syuniq Region.

Disclosed and undisclosed owners with unknown shares

Chaarat Kapan CJSC was registered on July 16, 2004. Chaarat Gold International Limited has a 100% share in the company. In its declaration, the company identified four real owners, noting the size of the participation in only one case.

The first real owner is Martin Anderson, a Swedish citizen, with 35.15% shares, which he acquired on January 30, 2019.

The second real owner is David Tovmasyan, a citizen of the Republic of Armenia and General Director of "Chaarat Kapan" CJSC, for whose shares there are no data. He is also a member of the company's board.

The third real owner is Sergey Zhukov, a Russian citizen. There is no information on his share in the declaration. He is also a member of the company's board.
The fourth disclosed owner is Darin Cooper, a UK citizen, again with an unknown share. Cooper is also a member of the board of this company. Thus, the data on the remaining 64.85% of the company's shares remain being unknown.

Known and unknown intermediate companies of real owners

Chaarat Gold Holdings LLC, located in the British Virgin Islands, is the first intermediate legal entity with listed shares in the company. The company is listed on the London Stock Exchange.

In the case of the first real owner, Martin Anderson, the intermediary companies are “Chaarat Gold International Limited” in Cyprus and “Labro Investments Limited” on the Bermuda Islands. There is no information on the intermediary companies of the remaining three disclosed real owners with unknown shares.

It should be noted that Chaarat is the fourth operator of Shahumyan gold and polymetallic mine. Prior to this, the mine was operated by the Swiss “Deno” company, then by Canadian “Dundee Precious Metals” Company followed by Russian “Polymetal International” Company.
The Russian company bought the mine for $ 25 million and sold it to “Chaarat” for $ 55 million.
